This Agreement between SnapPower (“SnapPower”) and partner (“You”) is effective as of the date the “Accepted” button clicked by You. SnapPowers’ acceptance of your order is expressly made conditional on Your agreement to these terms and conditions. The terms and conditions set forth on this agreement will govern the transactions between the You and the SnapPower, unless a separate, fully-executed agreement exists between SnapPower and You. SnapPower specifically rejects any terms or provisions which set any standards, specifications, or damages related to quality and time of delivery, or which contradict or purportedly claim to supersede these terms and conditions.  

By clicking the “Accepted” button in your shopping cart, You acknowledge and agree (or you are deemed to acknowledge and agree) to these Wholesale Terms and Conditions.

 

Ordering Process

You must place Your wholesale order online via our online store at https://snappowerpartners.com, unless agreed upon in writing by the parties prior to your initial order. Once Your account has been established and the terms of this Agreement have been accepted, You will have access to SnapPower's wholesale pricing via our online store.

 

Payment Terms

You agree to make all payments to SnapPower by credit card or PayPal through our online store at https://snappowerpartners.com at the time of checkout. Credit terms may be available to those who qualify. If You violate the credit terms in any way, You agree to pay an additional fee, which will be added to your next order and billed directly to You.  Any violation of the payment terms or credit terms may result in the termination of Your wholesale account.

 

Pricing

Products must be advertised at or above the SnapPower's suggested retail price (MSRP). Please refer to the SnapPower wholesale website (https://snappowerpartners.com) for current MSRP, which is equivalent to our online store selling price. By ordering wholesale products from SnapPower, You agree to not re-sell SnapPower products for less than the MSRP unless written permission from SnapPower is given for a special promotion. While You are free to conduct business as You choose, SnapPower reserves the right to terminate any account it feels violates the suggested retail price. 

Prices are subject to change without notice. All merchandise will be shipped at the prices in effect at the time of shipping. SnapPower reserves the right, at its sole discretion, to change packaging and any included documentation. All orders are subject to availability.

 

Ecommerce and Distribution

All SnapPower products purchased by You may only be sold in Your brick and mortar retail location(s) and/or through an approved online e-commerce site. No distribution through any other means is allowed. In particular, You may not sell to third parties that will resell the product online. No products or goods purchased from or produced by SnapPower shall be resold by or through any third-party online auction or online store (such as Etsy, Ebay, Amazon.com, Walmart.com or other similar sites and marketplaces). Online advertising through any digital marketing medium (ie. Social media marketing, search engine marketing, etc.) is not permitted unless otherwise approved in writing by SnapPower.

 

Marketing Materials and Branded Content

Any and all branded collateral used by You in connection with the sale of any SnapPower products must be approved in advance by SnapPower. The branded collateral, including any and all images may only be used on Your website or within Your retail location. No alterations, or modifications can be made to the branded collateral without written permission. You are not authorized to allow any third-party to use any SnapPower-branded collateral. Any unauthorized use of SnapPower’s trademarks, logos, or images may result in termination of Your wholesale account. No alterations shall be made to any SnapPower assets. You can request authorized assets from your sales rep. Any misuse of SnapPower assets may be in violation of SnapPower’s copyrights and SnapPower may take legal action.

 

Promotions and Events

SnapPower's products may not be used as prizes, giveaways, donations, or other promotional items unless specifically pre-authorized by SnapPower in writing.  Any violations of this provision may result in termination of Your wholesale account.

 

Warranty

We provide a one year warranty that all of our products will be free from defects in materials and manufacturing, under normal use and proper handling. 

 

Returns, Exchanges and Refunds

To be eligible for a return, your item(s) must be in the same condition that you received it and in its original packaging. You have 30 calendar days to return an item(s) from the date you received it. A restocking fee may apply. Please contact support@snappower.com to start your return/exchange. Any refund will be credited to the original form of payment within 7-21 business days upon receipt of the returned product. Exchanges and/or refunds may be offered by SnapPower in its sole discretion. You will be responsible for shipping expenses for product returned to SnapPower.

 

Minimum Order Quantity

Minimum order quantity:  $250

Any order for less than the minimum order quantity will be refused. 

 

Delivery and Shipment 

All orders placed through the SnapPower wholesale site will be shipped by the method (and associated price) chosen by You at checkout.  Any additionally shipment requirements must be negotiated in advance in writing. You will be responsible for shipping expenses related to order shipments.

 

Intellectual Property

SnapRays, LLC, dba SnapPower is the designer, manufacturer and distributor of SnapPower GuideLights, SwitchLights, Chargers and SafeLights (“SnapPower Products” or “Products”) and the owner of all intellectual rights in the Products and related materials (“Intellectual Property”).  SnapPower has issued patents and pending applications in the United States, Canada and around the world for the Products.  SnapPower holds trademarks and copyrights related to its business and the Products in the United States and internationally.  For more information: www.snappower.com/pages/patents.

You hereby acknowledge that the Intellectual Property is the sole and exclusive property of SnapPower, and that SnapPower has the exclusive right to the use thereof. You agree that You will not use the Intellectual Property for any reason except as allowed under this agreement. Such use shall not confer to You any interest in the Intellectual Property, and said Intellectual Property shall remain the sole and exclusive property of SnapPower at all times.

You agree that You will take no steps to diminish the value of SnapPower’s Intellectual Property.  You are granted a limited license to use the Intellectual Property only to the extent necessary and only in connection with the marketing and sale of SnapPower Products as defined in this agreement.  

 

Miscellaneous

You agree that SnapPower makes no warranty, express or implied, as to the merchantability of SnapPower products. You also agree that SnapPower is not liable for any misuse or misrepresentations of the goods by You or the final retail purchaser or consumer, and You agree to indemnify SnapPower for any legal actions that emanate from such actions.

SnapPower reserves the right to change the terms of this Agreement as necessary. Prices are subject to change without notice. Either party with 30-day written notice can terminate wholesale relationship.  The failure of SnapPower to exercise or enforce any right or provision of these terms and conditions of sale shall not constitute a waiver of such right or provision. You agree that regardless of any statute or law to the contrary, any claim or cause of action You may have arising out of or related to these terms and conditions of sale must be filed within one (1) year after such claim or cause of action arose or be forever barred. This Agreement and the terms and conditions set forth herein shall be governed by and interpreted under the laws of the state of Utah without regard to its conflicts of laws principles. The exclusive jurisdiction and venue for any dispute between You and SnapPower shall be the state and federal courts located in Salt Lake City, Utah, and You expressly consent to be subject to the jurisdiction of the federal or state courts of Utah. The section titles in these terms and conditions of sale are for convenience only and have no legal or contractual effect.
